Registered office: 2nd Floor, 9 Chapel Place, London EC2A 3DQ, United Kingdom.

Email: contact@auruxpartners.com

Aurux Partners is a trading name of D&I DYNAMICS LIMITED and is not a separate legal entity.

References to “Aurux Partners”, “the Company”, “we” or “us” in this Legal Notice refer to D&I DYNAMICS LIMITED, unless the context expressly indicates otherwise.

2. Business Activities and Scope

Aurux Partners focuses primarily on international business development, commercial introductions and relationship facilitation within the physical gold sector. Its activities may also extend to other precious metals and metals, subject to applicable laws and commercial arrangements.

The Company may identify potential producers, authorised exporters, suppliers, buyers, refineries and their respective representatives; assess preliminary commercial compatibility; facilitate introductions; and support initial communications between interested parties.

Unless expressly agreed in a separate written agreement, the Company does not:

  • Act as the principal buyer or seller in any metals transaction.

  • Own, purchase, sell, import, export, store, transport, insure or take physical custody of metals.

  • Receive or hold transaction funds, provide escrow services or arrange settlement as a payment services provider.

  • Conduct independent physical inspections, assays, certifications or authentication of metals.

  • Guarantee the existence, ownership, origin, legality, quality, purity, quantity, value, availability or delivery of any metals.

  • Provide investment advice, financial advice, asset management or other regulated financial services.

  • Act as an authorised agent, attorney, fiduciary or mandated representative of any counterparty.

  • Have authority to bind any third party to a transaction.

Any additional role or responsibility must be expressly agreed in writing and must comply with applicable law.

3. Commercial Introductions and Independent Counterparties

Commercial introductions facilitated by Aurux Partners are preliminary and do not, by themselves, constitute an offer, acceptance, transaction approval, endorsement or guarantee.

All counterparties remain responsible for their own independent due diligence and for assessing the commercial, legal, financial, operational and regulatory suitability of any proposed transaction.

Unless separately agreed in writing, negotiations, contractual terms, inspections, payment arrangements, shipping, insurance, delivery and dispute resolution are the responsibility of the relevant transaction parties.

The Company does not guarantee that an introduction will result in a negotiation, contract, delivery, payment or successful transaction.

4. Third-Party Documents and Representations

Information or documentation provided by third parties, including corporate documents, licences, certificates of origin, assay reports, proof of funds, proof of product, export documentation and transaction proposals, may be received or transmitted for preliminary commercial assessment.

Unless expressly confirmed otherwise in writing, the Company does not independently authenticate, certify or warrant the accuracy, completeness, validity or reliability of such documents.

The transmission of documentation or the introduction of a counterparty must not be interpreted as independent verification, regulatory approval or endorsement by Aurux Partners.

Recipients should obtain appropriate independent professional verification before relying on third-party documents or representations.

5. Regulatory Compliance, Sanctions and Responsible Sourcing

The Company conducts its activities subject to applicable laws and regulations, including relevant trade sanctions, anti-money laundering, counter-terrorist financing, anti-bribery, anti-corruption, customs, export controls and responsible sourcing requirements.

The Company may undertake risk-based preliminary checks and request information concerning corporate identity, beneficial ownership, licensing, source and provenance of metals, transaction structure and relevant counterparties.

The scope of any checks will depend on the nature of the activity, the relevant jurisdictions, the information available and applicable legal obligations.

The Company may refuse, suspend or discontinue communications or commercial introductions where documentation is insufficient, material concerns arise or legal or compliance risks are identified.

No provision in this Legal Notice constitutes a representation that the Company has completed comprehensive regulatory due diligence, certified the lawful origin of any metal or approved any particular transaction.

Nothing in this Legal Notice authorises any activity prohibited by applicable law, including relevant sanctions restrictions.

6. No Offer, Investment Advice or Regulatory Representation

The Website is provided for general corporate and commercial information purposes.

Its contents do not constitute a binding offer to purchase or sell metals, an investment recommendation, regulated financial advice, a public offering of securities, a guarantee of supply or a commitment to execute any transaction.

The Company does not claim any regulatory authorisation, professional accreditation or licence unless expressly stated and independently verifiable.

The regulatory classification of any proposed activity depends on its actual substance and the applicable jurisdiction, rather than solely on its description on this Website.

7. No Automatic Contract, Mandate or Commission Entitlement

Accessing the Website, submitting an enquiry, exchanging preliminary correspondence or receiving a commercial introduction does not automatically create a client relationship, agency, fiduciary relationship, exclusive mandate, partnership, joint venture or binding transaction agreement.

No commission, referral fee, success fee, exclusivity right, non-circumvention obligation or other commercial entitlement arises solely from use of the Website.

Any such rights and obligations must be established through an appropriate separate agreement between the relevant parties.

Nothing in this section overrides rights or obligations that may arise under a valid agreement or mandatory applicable law.

8. Confidentiality and Communications

Information submitted through the Website may be processed for the purpose of reviewing and responding to commercial enquiries.

Submitting information does not, by itself, establish a contractual confidentiality obligation or professional privilege.

Visitors should not submit highly sensitive commercial information, confidential transaction documents, bank credentials or privileged materials through an ordinary contact form.

Where appropriate, confidentiality arrangements and secure communication procedures should be agreed separately before sensitive documentation is exchanged.

Personal information is handled in accordance with the Website's Privacy Policy and applicable data protection law.

9. Fraud Prevention and Payment Security

The Company encourages all counterparties to independently verify identities, payment instructions, bank account details and changes to transaction arrangements using trusted communication channels.

No person should assume that a payment request, banking instruction or purported representative is genuine solely because it refers to Aurux Partners or uses similar branding.

Any suspected impersonation, fraudulent communication or misuse of the Company's identity should be reported to contact@auruxpartners.com.

This section does not exclude any responsibility that the Company may have under applicable law.

10. Website Information and Availability

The Company takes reasonable care in presenting information on the Website but does not warrant that all information will be complete, continuously updated, uninterrupted or free from errors.

Market references, commercial descriptions and third-party information are indicative only and should not be relied upon as the sole basis for commercial or financial decisions.

The Company may modify, suspend or withdraw Website content or functionality, subject to applicable law.

11. Liability and Statutory Rights

To the extent permitted by applicable law, the Company excludes liability for losses resulting solely from reliance on general informational Website content or from independent third-party acts, omissions or contractual defaults for which the Company is not legally responsible.

Nothing in this Legal Notice excludes or limits liability for fraud, fraudulent misrepresentation, death or personal injury caused by negligence, or any liability that cannot lawfully be excluded or restricted.

Any exclusion or limitation of liability is subject to applicable statutory controls, including requirements of reasonableness where relevant.

Nothing in this Legal Notice excludes liability for the Company's own acts or omissions where such exclusion would be unlawful.

Liability arising from separately contracted commercial services shall be governed by the relevant agreement, subject to applicable law.

12. Intellectual Property and Branding

Unless otherwise indicated, original Website content, trade names, visual identity, designs and other protected materials are owned by the Company or used with the necessary rights or permissions.

Website access does not grant any licence to reproduce, commercially exploit, impersonate or misrepresent the Aurux Partners brand or materials.

All third-party trademarks and protected materials remain the property of their respective owners.

13. Acceptable Use and Third-Party Links

Visitors must not use the Website for unlawful purposes, fraudulent enquiries, unauthorised access, malicious interference, unlawful data extraction or impersonation.

The Website may contain links to independent third-party resources. Such links do not imply endorsement or responsibility for third-party content or practices.

The Company may take proportionate steps to prevent misuse, subject to applicable law.

14. Governing Law and Jurisdiction

Subject to mandatory applicable laws and protections, this Legal Notice and disputes arising specifically from the use of this Website shall be governed by the laws of England and Wales.

The courts of England and Wales shall have jurisdiction, except where mandatory applicable law provides otherwise.

This provision does not automatically govern independent commercial agreements or transactions between third parties.

15. Changes to This Legal Notice

The Company may update this Legal Notice to reflect changes in its activities, Website operations or applicable legal requirements.

The most recent version will be published on this Website with an updated revision date.
